Corporate governance

The Supervisory Board and the Executive Board are responsible for the company’s corporate governance structure and for compliance with that structure. The main aspects of this corporate governance structure are explained every year in the annual report. The Supervisory Board and the Executive Board subscribe to the principles and best practice provisions of the Dutch corporate governance code (hereafter ‘the Code’). The Supervisory Board and the Executive Board are convinced that Royal BAM Group’s corporate governance is well organised. This corporate governance structure was discussed with the shareholders during the General Meeting on 21 April 2009. The company will always submit any substantial changes in the main features of the corporate governance structure to the General Meeting for discussion purposes.
